Engramia — Commercial License Agreement

1. Parties

This Commercial License Agreement ("Agreement") is entered into between:

and

Licensee: [Customer Name] [Customer Address]

2. Background

The Licensor provides the Engramia software (the "Software"), which is otherwise distributed under the Business Source License 1.1 (BSL 1.1).

This Agreement grants the Licensee additional commercial rights beyond those permitted under the BSL 1.1.

3. Grant of License

Subject to the terms of this Agreement, the Licensor grants the Licensee a:

  • non-exclusive
  • non-transferable (except as permitted below)
  • worldwide

license to use the Software for commercial and production purposes, including:

  • internal business use
  • deployment in production environments
  • integration into Licensee-owned applications
  • offering services powered by the Software

4. Permitted Use

The Licensee may:

  • use, modify, and deploy the Software internally
  • integrate the Software into proprietary systems
  • use the Software in SaaS or hosted environments (if included in Order Form)
  • create derivative works for internal or commercial use

5. Restrictions

Unless explicitly permitted in writing, the Licensee may not:

  • resell, sublicense, or redistribute the Software as a standalone product
  • offer the Software as a competing product
  • expose the Software as a general-purpose platform for third parties
  • remove or alter copyright, license, or attribution notices

6. License Types (Optional Add-on)

7. Fees and Payment

The Licensee agrees to pay fees as specified in the applicable:

  • Order Form
  • Pricing Agreement
  • Subscription Plan

Unless otherwise agreed:

  • fees are non-refundable
  • payment is due in advance
  • late payments may result in suspension

8. Term

This Agreement is:

  • effective from the Effective Date
  • valid for:

9. Support and Updates

Unless otherwise agreed:

  • basic support is provided via email/documentation
  • enterprise support requires a separate agreement
  • updates may be included or excluded depending on plan

10. Intellectual Property

The Software remains the exclusive property of the Licensor.

No ownership is transferred under this Agreement.

11. Relationship to BSL License

This Agreement overrides the limitations of the BSL 1.1 license only to the extent explicitly stated herein.

All other terms of the BSL license continue to apply.

12. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • the Licensor is not liable for indirect or consequential damages
  • total liability is limited to fees paid in the last 12 months

14. Termination

This Agreement may be terminated if:

  • Licensee breaches the Agreement
  • payment obligations are not met

Upon termination:

  • Licensee must cease using the Software
  • all licenses are revoked

15. Governing Law

This Agreement is governed by the laws of the Czech Republic.
